Terms of Service

1. Service Description

ClevAgent is an intervention layer for AI agents. Our desktop application includes an embedded terminal and a local gateway. The gateway processes activity inside the terminal and delivers intervention messages based on Our Logics. All processing runs locally on your machine. Activity outside the embedded terminal is outside the scope of the service.

2. Account Registration

• You must provide a valid email address, or sign in via Google OAuth, to create an account
• You are responsible for maintaining the security of your account
• One person or organization may maintain multiple accounts for different projects

3. Acceptable Use

You agree not to:

• Use the service on agents or systems you do not own or do not have permission to use
• Attempt to overload, disrupt, or reverse-engineer our systems
• Use the service for any illegal purpose
• Resell the service without our written permission

4. Service Plans and Payment

• Free Plan: 1 agent, basic coaching, no payment required
• Paid Plans: Billed monthly via Stripe. Prices are listed at clevagent.io/pricing
• You may upgrade, downgrade, or cancel at any time
• Refunds are handled on a case-by-case basis. Contact [email protected]

5. Service Availability

• We aim for high availability but do not guarantee specific uptime percentages
• Scheduled maintenance will be announced in advance when possible
• We are not liable for damages resulting from service interruptions

6. Data Ownership

• You retain ownership of all data you provide (agent names, terminal activity data, event logs, cost metrics)
• You are responsible for managing access you grant to invited project members within your workspace or projects
• We retain the right to use aggregated, anonymized data for service improvement
• To request data export or deletion, contact [email protected]. Data export within 7 business days, deletion within 30 days

7. Termination

• You may cancel your account at any time
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your data will be deleted within 30 days

8. Limitation of Liability

ClevAgent is provided “as is” without warranty. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of data beyond our reasonable control
• Actions taken based on coaching notes

Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

9. Data Breach Notification

In the event of a confirmed data breach affecting your personal information, we will notify affected users within 72 hours via email.

10. Governing Law

These Terms are governed by the laws of the State of Michigan, United States. Any disputes will be resolved in the courts of Washtenaw County, Michigan.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance.
